1. Application
These general Terms & Conditions apply to Web Bharat Media projects unless a signed agreement, accepted proposal, quotation or work order contains different terms. In that event, the specific written project document will prevail to the extent of the inconsistency.
2. Scope and Change Requests
Work is performed against the approved scope and deliverables. Features, integrations, content entry, migration, design revisions or operational changes requested outside the approved scope may require a revised estimate, additional time or a separate change request.
3. Pricing, Taxes and Third-Party Charges
Prices are based on the agreed scope. Applicable taxes, paid APIs, hosting, domain registration, premium plugins, gateways, messaging charges, licences, app-store charges and other third-party expenses are excluded unless expressly included in writing.
4. Payments
Payment schedules are stated in the relevant quotation or proposal. Web Bharat Media may pause work, deployment, transfer, support or access to unpaid deliverables where an agreed payment becomes overdue, subject to applicable law and the project agreement.
5. Client Responsibilities
The client is responsible for timely approvals, accurate content, lawful rights to supplied text/images/logos/data, access credentials, required third-party accounts and other dependencies identified for the project.
6. Timelines
Timelines depend on scope, feedback, content, third-party approvals and technical dependencies. Delays in client inputs or external services may adjust the delivery schedule.
7. Intellectual Property and Handover
Ownership and licence terms are determined by the relevant proposal or agreement. Unless otherwise agreed, third-party software and open-source components remain subject to their original licences. Client-owned materials remain client property.
8. Warranty, Support and Maintenance
Any defect-correction period, maintenance plan, hosting support, update coverage or service-level commitment must be stated in the applicable project document. New features and scope changes are not automatically included as defect corrections.
9. Suspension and Termination
Either party may seek to terminate a project in accordance with the accepted proposal or agreement. Fees for completed work, approved milestones, committed third-party costs and non-refundable expenses remain payable as applicable.
10. Confidentiality
Each party should protect confidential business, technical and access information received for a project and use it only for legitimate project purposes, except where disclosure is authorised or legally required.
11. Liability
Liability will be governed by the applicable project agreement and mandatory law. Neither party should be treated as responsible for indirect or consequential losses where such exclusion is legally permitted, and nothing excludes liability that cannot lawfully be excluded.
12. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of India. Subject to applicable statutory, territorial, pecuniary and subject-matter jurisdiction, competent courts and forums at Jabalpur, Madhya Pradesh shall have jurisdiction. Where a matter is legally maintainable before the High Court, the relevant forum shall be the High Court of Madhya Pradesh, Principal Seat at Jabalpur.
